These Terms and Conditions ("Terms," "Terms and Conditions") govern your access to and use of the Remi Live platform (the "Platform"), operated by Remi Live LLC d/b/a Remi Live ("we," "us," or "our"), including our website at remilivestudio.com and any related services, features, content, or applications (collectively, the "Services"). The Platform is a blockchain-based marketplace for buying, selling, and leasing music instrumentals, stems, and related digital audio content.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services. These Terms apply to all visitors, users, buyers, sellers, and others who access the Services ("Users," "you," or "your").

Supplemental terms, policies, or documents posted on the Platform from time to time (such as our License Agreements for specific content) are expressly incorporated herein by reference. We reserve the right to make changes to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. If you are under 18, you may only use the Services with the involvement of a parent or guardian who agrees to these Terms. By using the Services, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms.

2. User Accounts and Registration

To access certain features (e.g., uploading content, making purchases, or sending messages), you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You are responsible for safeguarding your account credentials and for any activities occurring under your account. Notify us immediately of any unauthorized access.

We reserve the right to refuse registration or cancel accounts at our discretion.

3. User Content and Licenses

The Services allow you to upload, submit, store, send, or receive content such as music stems, instrumentals, profiles, messages, and feedback ("User Content"). You retain ownership of your User Content, but by uploading it, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, modify, adapt, publicly perform, publicly display, and otherwise exploit your User Content in connection with operating and promoting the Services (e.g., displaying your instrumentals on the Platform, watermarked previews, or in marketing materials).

You represent and warrant that: (i) you own or control all rights in your User Content (or have obtained necessary permissions); (ii) your User Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights; and (iii) your User Content complies with these Terms.

We are not responsible for User Content and do not endorse it. We may, but are not obligated to, review, monitor, or remove User Content at our discretion, without notice.

If you provide feedback or suggestions about the Services, you grant us a perpetual, irrevocable license to use such feedback without compensation.

4. Purchases, Payments, and Licenses

The Platform facilitates buying, selling, and leasing of digital audio content under a three-tier licensing system (Basic, Premium, Exclusive). All transactions are between Users, with us acting as a facilitator. We may charge platform fees.

Payments can be made via fiat (e.g., credit/debit cards via Stripe) or cryptocurrency (e.g., via Binance Pay). You acknowledge the risks associated with cryptocurrency, including volatility, transaction fees, and irreversibility. All sales are final for digital goods, with no refunds unless explicitly stated in a separate Refund Policy or required by law.

By purchasing or leasing content, you receive a limited, non-transferable license as specified in the applicable License Agreement (e.g., for personal use under Basic; commercial use under Premium). You agree not to resell, redistribute, or use licensed content beyond the granted rights.

We are not liable for disputes between buyers and sellers. Use our dispute resolution process for issues.

5. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in compliance with these Terms. Prohibited activities include, but are not limited to:

• Uploading or sharing content that is illegal, harmful, abusive, obscene, discriminatory, or infringing on third-party rights.

• Spamming, phishing, or engaging in unsolicited communications.

• Hacking, interfering with, or disrupting the Services (e.g., viruses, DDoS attacks).

• Impersonating others or misrepresenting your affiliation.

• Using automated tools (e.g., bots) to scrape or access the Services.

• Engaging in money laundering, fraud, or other illegal financial activities, including misuse of crypto payments.

• Violating intellectual property laws, such as unauthorized sampling or distribution of copyrighted music.

 

We reserve the right to investigate violations and cooperate with law enforcement.

6. Intellectual Property

The Services and all content, features, and functionality (excluding User Content) are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. Our trademarks include "Remi Live" and related logos. You may not use our IP without written permission.

7. Data Privacy and Compliance

We are committed to protecting your privacy. Our collection, use, and sharing of personal data are governed by our Privacy Policy (incorporated herein by reference). By using the Services, you consent to our data practices as described therein.

For users in the EU/EEA (GDPR) or California (CCPA/CPRA):

• GDPR Compliance: We process personal data as a controller or processor in compliance with the General Data Protection Regulation (GDPR). You have rights to access, rectify, erase, restrict, or object to processing of your data, and to data portability. Contact us at [info@remilivestudio.com] to exercise these rights. We may transfer data outside the EEA with appropriate safeguards (e.g., Standard Contractual Clauses).

• CCPA Compliance: California residents have rights to know, delete, and opt-out of the sale of personal information. We do not "sell" data as defined under CCPA, but you may submit requests via [info@remilivestudio.com]. We will respond within 45 days (extendable to 90 days).

 

We comply with applicable data protection laws and implement reasonable security measures. However, no system is completely secure, and you use the Services at your own risk.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING USER CONTENT, TRANSACTIONS, OR THIRD-PARTY SERVICES (E.G., PAYMENT PROCESSORS).

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (OR $100 IF NO PAYMENTS WERE MADE).

10. Account Termination

We may suspend or terminate your account and access to the Services at any time, without notice, for any reason, including violations of these Terms. Upon termination, your right to use the Services ceases, but these Terms' provisions that should survive (e.g., IP, disclaimers, liability) will remain in effect.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware. You waive any objections to jurisdiction or venue.

12. Changes to the Services

We may modify, suspend, or discontinue the Services (or any part thereof) at any time without notice or liability.

 

13. Miscellaneous

These Terms constitute the entire agreement between you and us. If any provision is held invalid, the remainder remains in effect. Our failure to enforce any right does not waive it. You may not assign these Terms without our consent; we may assign them freely.
